Restaurant Partner Agreement

Grubbian (K) Ltd

Version: 1.2.1

Effective date: Monday, October 19, 2026

This Restaurant Partner Agreement (the Agreement) governs the relationship between Grubbian (K) Ltd (Grubbian, we, our or us) and the person or entity operating a restaurant through the Grubbian Platform (the Restaurant Partner, you or your). It applies together with the Grubbian Terms of Service / EULA and Privacy Policy.

By accepting this Agreement, you confirm that you have authority to bind the Restaurant Partner.

1. Relationship between the parties

The Restaurant Partner is an independent business responsible for its restaurant operations. This Agreement does not create employment, partnership, agency or joint ownership between the parties. Neither party may make a commitment on behalf of the other unless expressly authorised in writing.

Grubbian provides technology for restaurant discovery, reservations, meal pre-orders, payments, customer communications, reporting and related support. The Restaurant Partner remains responsible for preparing and supplying food, hosting diners and meeting its legal and professional obligations.

2. Restaurant account and listing information

You must provide and maintain accurate information, including the restaurant's legal or trading name, contact details, location, opening hours, menu, availability, prices, service options, and payment destination.

You are responsible for safeguarding restaurant account access and ensuring that authorised team members use the Platform appropriately. Please notify Grubbian promptly of an unauthorised user, material listing error or change to your ability to provide a listed service.

Grubbian may review listing information for quality, safety and completeness. We may temporarily limit ordering or visibility while a material issue is being resolved.

3. Menus, prices and availability

Menu descriptions, prices and availability must be accurate and must include information required by applicable food, consumer and tax law. You should promptly update an item that is unavailable or has changed.

The price and commercial terms recorded when an order is accepted and paid apply to that order. A later menu, fee or policy update does not recalculate an existing Confirmed order.

4. Reservations and order types

The Platform may offer:

  • Deposit-only reservations (DEPOSIT_ONLY), where the diner pays the stated deposit and orders or pays for meals at the restaurant; and
  • Meal pre-orders (MEAL_PREORDER), where the diner selects and pays for meals in advance through the Platform.

You may accept or reject a Pending order using the Platform. If you accept it, you agree to honour the booking at the stated date and time once any required payment has been verified and the order is Confirmed.

You should keep availability current, review orders promptly and communicate a service limitation before accepting an order wherever reasonably possible.

5. Providing the service

You must provide each Confirmed order with reasonable care and skill and in accordance with its recorded details. You remain responsible for food quality, food safety, hygiene, staffing, premises, licences and compliance with health and consumer-protection requirements.

An order may be marked Fulfilled after the booked service time when the agreed service has been provided and no unresolved service or refund issue is recorded. The Platform may automatically complete an eligible paid order 24 hours after the booked time if no issue has been reported.

6. Service concerns and agreed alternatives

If a Confirmed order cannot be provided as agreed, contact the diner promptly and use the Platform's service-resolution process. Depending on the situation, the parties may agree to reschedule, provide takeaway, substitute an item or adopt another reasonable and lawful solution.

Record the concern and agreed outcome accurately. While an issue remains open, completion and any related Rewards reimbursement are paused. Grubbian support may request relevant information and assist with an escalated case.

7. Refunds

A refund should be requested only where appropriate after considering a reasonable alternative. Grubbian verifies the request against the original order and payment before submitting it to the payment provider.

A successful full or partial cash refund closes the booking as Cancelled. Any points used for that order are restored to the diner, Pending points from the order are removed, and an unpaid Rewards reimbursement for the order is cancelled.

Payment-provider charges that cannot be recovered may be deducted from an ordinary refund where disclosed and permitted by law. A payment received after an order was already finally cancelled or expired is returned in full. Refunds after a completed dining service are not ordinarily available, except where a right or remedy applies under law.

8. Fees, commission and settlement

The applicable fee or commission is shown in the Restaurant Partner's agreed commercial terms and recorded with each order. The fee or commission saved with an order continues to govern that order even if the Restaurant Partner's commercial terms later change.

For an eligible Meal Pre-order participating in Grubbian Rewards, Grubbian's commission is 8.5% of the original meal value and the Restaurant Partner's entitlement is 91.5% of that value. This rate applies only when the order and both participating accounts meet the displayed Rewards requirements.

For a Deposit-only reservation, the Restaurant Partner's assigned tier determines its per-seated-diner service fee. The applicable tier and fee are shown in the Restaurant Partner's commercial settings or onboarding terms and are recorded with the order when payment is confirmed. The total service fee is calculated as follows:

Per-seated-diner fee x confirmed group size = total service fee.

For example, if the applicable tier carries a KES 150 per-seated-diner fee and the confirmed reservation is for four diners, the total service fee is KES 600.

The diner pays the Deposit-only reservation deposit through the Platform. The full deposit is redeemable against the diner's total bill at the restaurant. The Restaurant Partner must therefore deduct the full deposit paid by the diner from the final bill, even though the amount settled to the Restaurant Partner is net of Grubbian's service fee.

The Restaurant Partner's net deposit settlement is calculated as follows:

Deposit paid - (per-seated-diner fee x confirmed group size) = net deposit settlement.

Using the example above, if the diner paid a KES 2,000 deposit, the Restaurant Partner's net deposit settlement is KES 1,400, while the diner remains entitled to the full KES 2,000 credit against the final bill. The Deposit-only service fee is separate from the Meal Pre-order commission.

Successfully verified Deposit-only and Meal Pre-order payments are placed into the payment provider's automated payout process. The Restaurant Partner should ordinarily receive the applicable net settlement within three working days after successful payment verification. Paystack's published Kenya schedule is currently after two working days; the three-working-day operational window allows for provider or banking processing. Weekends and public holidays are not working days for automated payouts. A payout falling on such a day is processed on the next working day. Provider review, a new or changed unverified settlement account, an unsuccessful payout or another matter outside Grubbian's reasonable control may cause a longer delay.

Payment processing charges, taxes and other deductions are shown or accounted for as required by the applicable order terms and law. Each party is responsible for its own taxes and statutory obligations.

9. Grubbian Rewards and restaurant entitlement

Where a diner uses points on an eligible Meal Pre-order, the points reduce the cash collected from the diner but do not reduce the Restaurant Partner's recorded entitlement on the original meal value. Grubbian funds the difference between that entitlement and the restaurant's allocation from the cash payment.

The Rewards-funded amount is recorded after payment is verified and becomes eligible for payment when the order is Fulfilled. It is separate from the payment provider's automated settlement of the diner's cash payment.

Eligible Rewards reimbursements are generally submitted to the transfer provider in processing runs scheduled approximately every three hours. These runs operate on every calendar day, including weekends and public holidays, subject to the Platform's payout controls, available funding and provider availability. A submission is not a guarantee of immediate credit: the provider and the receiving bank or mobile-money service determine when the transfer is finally credited.

If submissions are temporarily paused or a provider outcome is uncertain, the recorded amount remains due and will be reconciled. Grubbian bears the transfer fee for the Rewards-funded reimbursement unless different terms are expressly agreed in writing.

10. Payment destination and statements

You must maintain an accurate and supported bank, mobile-wallet, Paybill or Till destination and any account reference required by the provider. Grubbian may verify those details before sending funds.

A payment already submitted remains linked to the destination recorded for that submission. If you change your destination, the new details apply only as shown by the Platform and do not silently redirect an earlier payment with an uncertain outcome.

Restaurant statements distinguish the diner's cash payment, applicable fees, the restaurant's cash allocation, any Rewards-funded reimbursement and their respective statuses. You should review statements and promptly report a discrepancy.

11. Restaurant content and brand materials

You retain ownership of your restaurant name, logo, menu, photographs and other materials. You grant Grubbian a non-exclusive licence to store, adapt for display, reproduce and use those materials to operate and promote your listing and the Platform.

You confirm that you have the rights needed to provide those materials and that they are accurate, lawful and do not infringe another person's rights.

12. Platform conduct and customer relationships

You must treat diners fairly, communicate professionally and avoid misleading, discriminatory, unsafe or fraudulent conduct. You must not manipulate orders, payments, reviews, Rewards balances or Platform records.

You must not use information obtained through Grubbian to circumvent the Platform for a booking initiated through Grubbian or to misuse a diner's personal data. This does not prevent a lawful direct relationship that arose independently of a Grubbian booking.

13. Privacy and confidentiality

Each party must protect personal and confidential information received through the relationship and use it only for the relevant service, legal obligation or other lawful purpose. Diner information may be used to fulfil and support the applicable booking, not for unrelated marketing without an appropriate lawful basis.

The parties will comply with applicable data-protection law and the Grubbian Privacy Policy. You should report a suspected data or account security incident promptly.

14. Suspension and termination

Grubbian may temporarily limit a listing or account where reasonably necessary to address safety, fraud, legal compliance, repeated service failures, non-payment or a material breach of this Agreement. Where appropriate, we will explain the concern and provide a reasonable opportunity to respond or correct it.

Either party may end the relationship using the applicable notice or account process. Ending the relationship does not erase a Confirmed order, refund, commission, reimbursement, payout, dispute or record that must still be completed or retained.

15. Responsibility and liability

The Restaurant Partner is responsible for its food, premises, staff, licences, taxes, service and information or payment details it supplies. Grubbian is responsible for operating its Platform with reasonable care and for the obligations it expressly assumes under this Agreement.

To the extent permitted by law, neither party is responsible for indirect or unforeseeable loss or for a failure caused solely by circumstances beyond its reasonable control. Nothing in this Agreement excludes liability that cannot lawfully be excluded or limited.

Each party is responsible for third-party claims arising from its own unlawful conduct, negligence or material breach of this Agreement, to the extent permitted by law.

16. Changes and consent

Grubbian may update this Agreement to reflect changes in the Platform, law or commercial arrangements. We will give reasonable notice of a material change and identify when it is intended to take effect.

Where renewed agreement is required, the authorised Restaurant Partner must review and expressly accept the identified version. Opening or dismissing a notice does not count as acceptance. If a required update is not accepted, new features or orders that depend on it may be unavailable, while existing orders and recorded obligations continue to be handled under their applicable terms.

17. Governing law and disputes

This Agreement is governed by the laws of Kenya. The parties will first try to resolve a concern through good-faith discussions. If it cannot be resolved, the parties may agree to mediation or refer the dispute to arbitration in Nairobi in accordance with Kenyan law. Either party may seek urgent or other relief from a competent court where legally available.

This Agreement, the Terms of Service / EULA, the Privacy Policy and any agreed commercial schedule form the agreement between Grubbian and the Restaurant Partner for the matters they cover.
